These Terms and Conditions apply to your use of the Dravero website and to services, courses, resources and other products provided by Dravero CIC.

Please read these Terms before purchasing or using our products or services.

1. About Dravero

Dravero CIC is a Community Interest Company registered in England and Wales under company number 17093084.

We provide learning, consultancy and practical support to individuals, organisations and communities, with particular expertise in social enterprise, charities, community organisations and purpose-led businesses.

Our services may include:

  • online courses and learning programmes;

  • workshops and events;

  • downloadable tools, templates and resources;

  • guidance and consultancy sessions;

  • organisational development support;

  • fundraising support;

  • support with charity formation and registration

  • other related learning and consultancy services.

Our website and online learning platform are hosted using Podia.

In these Terms, “Dravero”, “we”, “us” and “our” mean Dravero CIC.

“You” and “your” mean the person or organisation purchasing, accessing or using our website, products or services.

2. Using our website

You may use our website for lawful purposes and in accordance with these Terms.

You must not:

  • use the website in a way that is unlawful or fraudulent;

  • attempt to gain unauthorised access to the website, its systems or another user's account;

  • introduce viruses, malicious software or other harmful material;

  • interfere with the operation or security of the website; or

  • copy, reproduce or distribute our content except as permitted by these Terms.

We may update, change or temporarily withdraw parts of the website where reasonably necessary.

3. Accounts

Some Dravero products and services require you to create an online account.

You are responsible for providing accurate information and keeping your login details secure.

Your account is personal to you unless we have specifically agreed that access may be shared within an organisation.

You must not give another person access to a course, programme, resource or service purchased for individual use.

Please contact us if you believe somebody else has gained unauthorised access to your account.

4. Purchasing from Dravero

The description and price of a product or service will be shown before you purchase it.

Prices will state whether VAT is included or payable where applicable.

A contract between you and Dravero is formed when we accept your order or booking.

We may decline or cancel an order where:

  • there has been an obvious pricing or description error;

  • we are unable to provide the product or service;

  • we reasonably believe the service would not be appropriate for your requirements; or

  • accepting the work would create a legal, regulatory or professional conflict.

If we cancel something you have already paid for and have not received, we will refund the amount you paid for the cancelled product or service.

5. Courses, programmes and digital resources

When you purchase an online course, programme or digital resource, you receive a personal, non-transferable right to access and use that material.

The product description will explain what is included and, where relevant, how long you will have access.

Unless we expressly state otherwise, purchasing a course or resource does not give you ownership of the material or permission to reproduce or distribute it.

We may make reasonable updates to courses and learning materials to keep them accurate, useful and up to date.

Where access is provided for a specified period, it is your responsibility to use or download any resources that we permit you to download before that access period ends.

6. Workshops, events and live sessions

Some services may be delivered as live online or in-person workshops, events or sessions.

The relevant product or booking information will explain the date, location or online delivery method and what is included.

If Dravero needs to cancel or materially rearrange an event or session, we will offer an appropriate alternative.

Where we cannot reasonably provide an appropriate alternative, we will refund the amount you paid for the affected event or session.

7. Guidance and consultancy

Dravero may provide guidance, mentoring, consultancy and organisational development support.

The scope of the work will be agreed with you before or as part of the engagement.

You are responsible for providing information that is complete, accurate and timely. Our work will be based on the information available to us at the time.

Unless expressly agreed otherwise in writing, our services are intended to provide practical information, education and support and should not be treated as legal, regulated financial or other specialist professional advice.

Where an issue requires advice outside our expertise or authority, we may recommend that you obtain advice from an appropriately qualified professional.

Decisions about your organisation remain your responsibility.

8. Fundraising support

Dravero may provide fundraising support, including:

  • fundraising planning;

  • researching potential funding opportunities;

  • identifying potential funders;

  • developing funding applications;

  • reviewing applications; and

  • related advice, guidance and support.

We cannot guarantee that:

  • your organisation will be eligible for a particular funding opportunity;

  • a funder will accept an application;

  • funding will be awarded;

  • a particular amount of funding will be secured; or

  • a funding programme or opportunity will remain available.

Funding decisions are made independently by funders and are outside Dravero's control.

You are responsible for ensuring that information provided to us is complete and accurate and for approving applications made on behalf of your organisation.

Unless we have expressly agreed otherwise, you remain responsible for the final submission of an application and for complying with any conditions attached to funding subsequently awarded.

9. Charity registration support

Dravero may provide support with establishing and registering charities with the Charity Commission for England and Wales.

Our support may include helping you:

  • consider whether a charitable structure is appropriate for your proposed organisation;

  • consider the appropriate charity structure, including the type of Charitable Incorporated Organisation (CIO);

  • develop your charitable purposes and objects;

  • explain and demonstrate how your proposed activities will deliver public benefit;

  • work through trustee and governance requirements;

  • prepare information and documents required for registration;

  • complete the Charity Commission application; and

  • respond to questions raised by the Charity Commission during the application process.

Where agreed as part of the service, we may submit an application or supporting documents on your behalf.

Registration is determined solely by the Charity Commission. We cannot guarantee that an application will be accepted or that registration will be completed within a particular period.

You are responsible for ensuring that the information you provide to us is complete and accurate and for reviewing and approving the application and supporting information before submission where approval is required.

The Charity Commission may request amendments, clarification or additional information. Reasonable responses to routine queries relating to the original application may be included within the service you purchased.

Where a request from the Charity Commission, a change in your circumstances or a change to the proposed charity results in substantial additional work or work outside the original agreed scope, we may charge an additional fee. We will explain this and obtain your agreement before carrying out any additional chargeable work.

10. Information and educational content

We take reasonable care to ensure that our courses, resources and guidance are accurate and useful when produced.

However, laws, regulations, government guidance, funding programmes, eligibility criteria and good practice can change.

Information provided through a course, resource, article, video, workshop, email or community discussion is general information unless we have specifically agreed to provide individual consultancy.

You should consider your own circumstances and obtain specialist professional advice where appropriate before making significant legal, financial or organisational decisions.

11. Consumer rights and cancellations

Nothing in these Terms affects your statutory rights.

If you purchase from Dravero as an individual acting wholly or mainly outside your trade, business, craft or profession, you are a consumer and may have additional rights under consumer law.

For many services purchased online, consumers have a statutory period of 14 days in which they may cancel the contract without giving a reason.

If you ask us to begin providing a service during the cancellation period and subsequently cancel, you may have to pay a reasonable amount for the service supplied before you cancelled.

If the service has been fully performed during the cancellation period following your express request and acknowledgement, your statutory right to cancel may end once the service has been fully performed.

Digital content

Different rules apply where digital content is supplied immediately.

Where you purchase digital content and request immediate access, we may ask you to:

  • expressly consent to the digital content being supplied immediately; and

  • acknowledge that by doing so you may lose your statutory right to cancel once supply of the digital content begins.

Where required by law, we will obtain that agreement before providing immediate access.

Any additional cancellation arrangements that apply to a particular course, event, programme or service will be explained when you purchase it.

Nothing in our own cancellation or refund arrangements limits rights that cannot legally be excluded.

UK government guidance confirms that online sellers need to deal specifically with immediate access to digital content and obtain the appropriate agreement from consumers.

12. Rescheduling appointments

If you book an individual session and need to rearrange it, please give us as much notice as reasonably possible.

Any specific cancellation or rescheduling arrangements shown when you book will form part of your agreement with us.

Where repeated cancellations, very late cancellations or non-attendance occur, we may treat a booked session as having been used where this is reasonable in the circumstances and was made clear when you booked.

If Dravero needs to rearrange a session, we will offer another suitable time.

These arrangements do not affect any statutory cancellation rights you may have.

13. Intellectual property

Unless stated otherwise, content provided by Dravero belongs to Dravero CIC or is used by us with permission.

This includes:

  • course materials;

  • videos and recordings;

  • presentations;

  • worksheets;

  • templates;

  • guides;

  • downloadable resources;

  • graphics;

  • written content; and

  • other learning materials.

When you purchase a Dravero product, we give you permission to use the materials for your own personal use or for the internal purposes of your organisation.

You may adapt worksheets and templates for your own or your organisation's use where that is their intended purpose.

Unless we have given you written permission, you may not:

  • resell our materials;

  • upload them to another learning platform;

  • reproduce them as your own training materials;

  • share paid resources publicly;

  • distribute them to people who have not purchased or been granted access;

  • remove our branding and present the material as your own; or

  • use our materials to create a substantially similar commercial product or service.

14. Community areas

Dravero may provide online spaces where learners, customers or community members can communicate with each other.

We want these spaces to be constructive, inclusive and respectful.

You must not post or share material that is:

  • unlawful;

  • threatening or abusive;

  • discriminatory;

  • defamatory;

  • deliberately misleading;

  • harmful to other members;

  • promotional or spam where this is not permitted; or

  • an infringement of another person's rights.

You should be thoughtful about sharing confidential, commercially sensitive or personal information about yourself or others.

We may moderate community areas and remove content where we reasonably consider this necessary.

We may suspend or remove somebody's access where their behaviour seriously or repeatedly breaches these Terms or puts other members at risk.

15. Third-party services

We use third-party providers to operate parts of our services.

For example, our website and online learning platform are hosted using Podia, and we may use other providers for payments, communications, video meetings, email and business administration.

Your use of some third-party services may also be subject to that provider's own terms and privacy information.

We are not responsible for services provided independently to you by third parties.

This does not affect our responsibility for products and services that you have purchased from Dravero.

Our Privacy Notice explains more about how we use third-party providers when processing personal information.

16. Website and platform availability

We aim to keep our website and digital services available, but we cannot guarantee uninterrupted access.

Occasional interruptions may occur because of maintenance, technical problems, internet failures, cybersecurity issues or problems affecting third-party platforms.

Where a significant interruption affects a paid service, we will take reasonable steps to restore access or provide an appropriate alternative.

17. Our responsibility to you

We will provide our services with reasonable care and skill.

Nothing in these Terms excludes or restricts liability where it would be unlawful to do so.

We are not responsible for losses caused by circumstances outside our reasonable control or which arise because information supplied to us was materially inaccurate or incomplete.

Where you purchase our services wholly or mainly for the purposes of a business or organisation, we will not normally be responsible for indirect or consequential losses, including loss of anticipated profits, funding or opportunities, except where liability cannot legally be excluded.

Nothing in these Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence;

  • fraud or fraudulent misrepresentation; or

  • any other liability that cannot lawfully be excluded or limited.

If you are a consumer, nothing in these Terms limits your statutory rights.

Consumer contract terms need to be fair and transparent, and businesses cannot simply use contractual wording to remove statutory consumer protections.

18. Suspending or ending access

We may suspend or end access to a service, course, account or community where somebody:

  • seriously or repeatedly breaches these Terms;

  • behaves abusively towards Dravero, people working on our behalf or other community members;

  • shares or distributes protected materials without permission;

  • attempts to compromise our website, platform or systems;

  • uses our services unlawfully; or

  • fails to make an agreed payment.

Where appropriate, we will try to resolve the issue before ending access.

We may act immediately where we reasonably consider this necessary to protect Dravero, another person, our systems or our community.

Any decision to suspend or end access will not affect statutory rights that cannot lawfully be excluded.

19. Changes to our products and services

We may make reasonable changes to our products and services from time to time.

For example, we may update course content, resources or delivery methods to reflect changes in law, regulation, technology or good practice.

We will not make a material change that significantly reduces something you have already purchased without a reasonable justification or, where appropriate, offering an alternative.

20. Changes to these Terms

We may update these Terms from time to time, for example where our services, technology or legal obligations change.

The latest version will be published on our website together with the date it was last updated.

Changes will not retrospectively remove rights relating to a purchase you have already made.

21. Privacy and personal information

We process personal information in accordance with our Privacy Notice.

Our Privacy Notice explains what information we collect, why we use it, the lawful bases on which we process it, who we may share it with, how long we retain it and your rights.

22. Complaints

We want to know if something has gone wrong.

If you are unhappy with a Dravero product or service, please contact us in the first instance so that we have an opportunity to understand the problem and try to resolve it.

You can contact us using the contact details provided on our website.

Nothing in this section affects your statutory rights or your right to pursue another remedy available to you.

23. Governing law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you retain any rights you have under applicable consumer law concerning where proceedings may be brought.

If you are purchasing on behalf of a business or organisation, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.
